PEOPLE FIRST.

Our long-term goal is to reach and serve 15 million people—roughly half of an estimated 30 million U.S. adults currently using GLP-1 medications for weight loss in Gallup’s 2026 survey. [1] [2]

LONG-TERM REACH AMBITION

750 figures = 15 million people

1 figure = 20,000 people. Initial goal: 1.33% of the long-term ambition.

Our founder’s long-term ambition is to serve 15 million people: roughly half of the estimated 30 million U.S. adults currently using GLP-1s for weight loss. Our initial reach goal is 200,000 people.

Reach goals—not paying-subscriber forecasts or a validated addressable market.

Sources: [1] Gallup (May 28–June 5, 2026; n=5,065; updated Sept. 8): 11% current GLP-1 use for weight loss. [2] U.S. Census (July 2025): 269,763,509 adults. Our estimate: 11% × adult population ≈ 30M; survey-derived, not a census count or customer forecast.

Illustrative exit target: $1.2B enterprise value

Assumptions and risks

Proposed $1.5M full raise with conditional 30% post-close ownership, subject to definitive documents. Conditional valuation arithmetic: $1.5M ÷ 30% = $5M implied post-money; $5M − $1.5M = $3.5M implied pre-money. These are technical assumptions, not finalized investment terms or issued equity. Final instrument, ownership timing and rights remain unconfirmed. No investment transaction occurs; smaller investments are subject to review.

Full-precision gross proceeds and conditional stakes scale by selected investment ÷ $1.5M on the same terms before scenario dilution. Only display amounts are rounded; exact USD proceeds are available on each figure’s accessible label and title.

Sixty months from commercial launch. Operating basis: 207,051 continuously paying 112-stick-plan members × $117 every 28 days × 365/28 annual cycles × 95% gross-to-net ≈ $300M annualized net revenue run rate (not cumulative five-year revenue) × an assumed 4× = $1.2B enterprise value. This is an ambition, not a guaranteed sale; assumptions remain subject to validation. The 200,000 initial people-served goal and 15 million reach ambition are fixed reach goals, not paying-subscriber forecasts or a validated addressable market.

No later rounds is a comparison, not the current funding model: possible $3M financing in May 2028 remains subject to validation. Later capital may be needed; $1.5M is not proven sufficient and later financing is not committed.

At the full investment, no later rounds: $1.2B enterprise value, $0 debt, cash and fees, $1.2B equity × 30% = $360M gross proceeds. One 15% dilution round: 30% × 85% = 25.5%; the same $1.2B equity × 25.5% = $306M.

Lower-exit stress: 30% × 85% × 80% × 80% = 16.32%. ($100M enterprise value − $10M debt − $2M fees + $0 cash) = $88M equity × 16.32% = $14,361,600 gross proceeds, approximately $14.36M. The two 20% rounds and financial inputs are chosen hypotheticals, not a validated forecast. A $100M exit is still a success scenario, not a worst case; this example does not assume a $1.2B buyout.

The separate 10+ year founder’s dream assumes 15,000,000 continuously paying subscribers × $117 per calendar month × 12 = $21,060,000,000 annual gross revenue × assumed 4× = $84,240,000,000 enterprise value. This is different from the $117 every 28 days / 95%-net operating model, not the 15M reach goal or a forecast.

At the full raise, dream no later dilution: $84.24B × 30% = $25,272,000,000. One 15% dilution: $84.24B × 25.5% = $21,481,200,000. Assumed severe stress: $84.24B ÷ 12 = $7.02B stressed enterprise value − 10% debt ($702M) − 2% fees ($140.4M) + $0 cash = $6.1776B equity × 16.32% = $1,008,184,320, approximately $1.01B. All scale by selected investment ÷ $1.5M; inputs are chosen hypotheticals, not a validated model.

All figures are hypothetical gross pro-rata proceeds before personal taxes and preferences, not profit or promised returns. Equal pro-rata payouts omit preference waterfalls; definitive terms, preferences, taxes and later dilution can reduce proceeds to $0. Upside examples assume $0 debt, cash and fees. No exit, valuation, minimum or return is guaranteed; seek independent financial and legal advice.

Valuation arithmetic assumes 30% post-close ownership. Final instrument, ownership timing and rights remain unconfirmed and subject to definitive investment documents, counsel review and company approvals. If a SAFE is used, it is not equity until conversion and may never convert; final ownership depends on the agreed terms and capitalization. Future financing can dilute ownership. Model assumptions are subject to validation; counsel review and company approvals remain pending. Early-stage investment can lose all capital; no exit, valuation or return is promised.

Unrelated business context

Grüns and Liquid I.V. are unrelated businesses. Reports about their transactions provide context only, not evidence of our future results. No affiliation or endorsement is claimed; their performance does not validate this model or imply a comparable outcome.

Our edge is the team: Jorge Cruise, 30 years as a health, weight-loss and longevity author; Stephan Peeler, a serial entrepreneur whose family has been in beverage for 109 years.

  • · Your first conversation is a 10–20 minute Zoom with Jorge, personally.
  • · After the call we send the deck, the business proposal and the pro forma.
  • · This is not an application — simply an introduction.
How do you know Jorge or Stephan?
What are you looking to invest?

We keep this round small and selective. Your first conversation is with Jorge — ten to twenty minutes on Zoom — and we follow it with the current 10-slide deck, the business proposal and our pro forma.
